C00002 00002	This document ammends and supercedes the contract previously entered into

This document ammends and supercedes the contract previously entered into
between Arthur L. Samuel, hereafter called the contractor with the Umtech
Corp. refered to as the contracter.

The contractor agrees to continue to work for the contracter in the
programming of additional games and game modifications for the Video-Brain
as mutually agreed upon, and under roughly the same conditions that he is
now working, namely that he will be provided with programming and
debugging help either in the person of Niall Shapero or someone with similar
qualifications, and that he will have reasonable priority in the use of
the test facilities at Umtech so that his work at Umtech can be fitted into
his Stanford schedule without too much inconvenience.

In return for this work the contractor will be paid $1000.00 per month and
he will receive 20 cents per cartridge for each cartridge sold that is
based on his work. This royality will furthermore also apply to the
checkers cartridges in place of the figure of 10 cents previously set.

It is further understood that the contractor will not be able to devote as 
much time to the continuing project as he has in the past and that he will
have to work on Stanford University problems for approximately one half of
his time to reimburse Stanford for the use that he will make of Stanford's
computer facilities.
